Purpose

This is a very key position within the Treasury & Corporate Financing Function which is responsible for leading the arrangement and management of Long-Term Financing for all Strategic Projects and major CAPEX requirements of the Company. This role requires reviewing the capex plans of the Company for evaluating the long-term financing needs of the Company, selection of appropriate financing mode, assessment of market appetite and devising a securitization plan as acceptable to the lenders. This role also requires in-depth knowledge of loan documentation, security documentation, financial markets, and strong grip on foreign exchange regulations. This position demands strong multi-tasking skills to take forward different transactions/deals simultaneously from due diligence to transaction closure.

This role also involves devising and implementing forex risk mitigation strategies to hedge currency exposure arising on foreign currency loans. It also has the responsibility of managing and overseeing compliance of financial covenants and contractual obligations derived from the loan agreements signed with local and foreign lenders. It also requires strong relationship management skills for managing the large lenders portfolio comprising of local banks, foreign financial institutions, Export Credit Agencies, etc. Further, this role is also involved in key communications with external legal counsels, and with State Bank of Pakistan (SBP) not only for reporting purposes but also for obtaining various statutory and regulatory approvals.

Area of Responsibilities

1 Long Term / Project Financing 60%

– Reviewing the approved Capex plan and strategic projects requiring long term funding for evaluating the long-term financing needs of the Company.

– Evaluate different financing modes for selection of the best suited option. Development and finalization of Teaser and Information Memorandum to solicit interest from potential lenders.

– Reviewing preliminary Term Sheet issued by Banks and analyzing the different options for determining the most appropriate source of finance.

– Preparation of Board pack required to seek approval from the Board for execution of the Term Sheet to move forward with arrangement of financing.

– Working with banks / lenders for completion of the due diligence process including engagement of various company functions

– Participation in negotiation with lenders on all key terms of the Financing Documents including covenants, representation and warranties, EODs etc.

– Coordination with the lenders’ and Company’s legal counsel for loan and security documentation

– Coordination with State Bank through local commercial banks on all regulatory matters including registration for foreign loans, registration of repayment schedules etc. and addressing the questions raised by SBP for issuing approvals.

– Overseeing the debt securitization and security documentation process for ensuring timely registration of charges with SECP

– Detailed monitoring and compliance of covenants as agreed with lenders under the financing agreements.

– Coordination with other Departments for compilation of data for reporting requirements under the long-term financing agreements.

– Managing the diverse long-term borrowing portfolio and ensuring debt service payment of financing facilities are made on time without any delay

2 Hedging of foreign loans 15%

– – Provide input in devising and implementing Forex risk mitigation strategies to hedge the currency exposure arising on foreign currency loans.

– Engaging with different banks to solicit their interest and to require them to obtain relevant approvals from SBP for hedging the currency risks arising on specific loans of the Company

– Obtaining bids from different banks for finalizing the most appropriate option available.

– Settlement of CCS transactions with multiple banks to ensure repayments of underlying loan and hedge settlement are done simultaneously without any delay

– Analyzing macro-economic conditions and proposing strategies to hedge foreign currency risks.

3 Foreign remittances 10%

– Ensuring foreign payments arising on services obtained by Company from foreign vendors are made on time.

– Ensuring that Company remains in compliance with applicable foreign exchange regulations and remain updated with changes that are made in the regulations from time to time.

– Addressing questions raised by SBP in a way that is simple for them to understand and enables them to issue the required approvals to the Company for making the foreign currency payments.

4 People Management 15%

– Provide effective and inspiring leadership to direct reports
